Sydney-based Village Roadshow Ltd. is implementing multiple strategic measures to strengthen its financial position and rebuild shareholder trust following a sharp decline in share value and investor criticism.

In a detailed interview with Variety, managing director Graham Burke outlined several key developments aimed at addressing what he characterizes as misconceptions regarding the entertainment conglomerate's financial health and business direction.

The company is finalizing arrangements for its international production financing partnership with Warner Bros. Market anxiety over VRL's capacity to fund recent projects—notably "The Matrix" sequels currently in production in Sydney—played a role in the stock's downturn. While Burke wouldn't confirm local media speculation that VRL's portion of "The Matrix" combined budget has expanded to $A300 million ($165 million), he expressed confidence based on preliminary footage, calling it "the best piece of film investment we've ever made."

Regarding its Argentine operations, the company has dramatically reduced debt from $75 million to $34 million, with book value being conservatively adjusted to zero. Burke noted that despite economic challenges in the region, "we're comfortable with the debt, and despite the economy, our admissions and revenues are significantly ahead of budget."

To address shareholder concerns about compensation structures, executive salary arrangements will be redesigned to emphasize performance-based incentives rather than fixed amounts. An independent compensation consultant is expected to deliver recommendations to the board within weeks.

The exhibition division showed robust recovery with ticket sales surging 19% in the fiscal year concluded June 30, reversing the previous year's first-ever operating loss during the worldwide box office downturn.

Roadshow Film Distributors achieved record performance in the same period, driven by the inaugural "Harry Potter" and "Lord of the Rings" releases. Burke expressed optimism about the current year's slate, featuring subsequent installments of "Potter," "Rings," and "Matrix," alongside Australian productions including "Crackerjack," "Bad Eggs," and "Takeaway."

Burke emphasized that "the company has never been in better shape," highlighting strong performance from radio and theme park operations.

Nevertheless, approximately 35% of VRL's market capitalization evaporated following the announcement of suspended dividend payments on ordinary shares. The company justified this decision by aligning with industry giants like Viacom and AOL Time Warner, which prioritize capital appreciation over dividend distribution. However, a prominent institutional investor dismissed this rationale as "ludicrous," noting those companies' own stock declines.

The recent $50 million investment in Warner Bros. co-productions raised concerns among some investors about risk exposure. Burke countered that these funds originated from the joint venture's profitable films, making such worries unfounded.

Several analysts suggested the Kirby family—VRL's principal shareholder—deliberately depressed the stock price to acquire an additional 2.9% stake, pushing total ownership above 50%. Burke rejected this theory as "pure idiocy," questioning why the Kirbys would accept a $A65 million ($35.7 million) reduction in their investment value to save $A4 million ($2.2 million) on additional share purchases.

Burke clarified that directors are prohibited from trading Village stock during the blackout period preceding the September annual results announcement.

The executive believes the market undervalues VRL's Warner Bros. alliance, describing it as a "great partnership based on (Warners' senior) people and stability."

Burke expressed enthusiasm about the joint venture's focus on franchise development and sequels, highlighting "The Matrix," "Analyze That," and planned follow-ups to "Cats & Dogs" and "Miss Congeniality."
